Terms of Service

These Terms of Service govern all projects and services provided by TezCommerce.pk to its clients. By engaging our services — whether by paying a deposit, signing a Scope Agreement, or otherwise instructing us to begin work — you agree to be bound by these Terms in full.

1. Services & Scope

TezCommerce.pk ("we", "us", "our") provides custom ecommerce store development and related digital services including, but not limited to: storefront design and build, payment gateway integration (JazzCash, EasyPaisa, bank cards, COD), courier API integration (PostEx, Trax, Leopards), WhatsApp order routing, admin dashboards, hosting setup, and optional Tez Care monthly support.

The exact scope of work for each project is defined in a written Scope Agreement signed by both parties before work begins. Nothing outside that signed agreement will be delivered without a separate written change order and additional quote. We do not begin development until a signed Scope Agreement and the agreed upfront deposit have been received.

2. Pricing & Payment

All prices are fixed, quoted in Pakistani Rupees (PKR), and cover the scope defined in the signed agreement. There are no hidden costs, monthly subscriptions, or recurring platform fees beyond the one-time project price.

Payment milestones differ by tier: • Tez Launch & Velocity: 50% upfront, 50% on delivery. • Tez Scale: 40% upfront, 30% at midpoint milestone, 30% on delivery. • Tez Enterprise: 30% upfront, 30% at midpoint milestone, 40% on delivery.

Add-on services (e.g., extra pages, additional integrations, Tez Care retainer) are billed separately and quoted in advance. Invoices are due within 48 hours of issuance. We reserve the right to pause or withhold delivery until outstanding payments are settled.

3. Project Timeline & Delivery Guarantee

Estimated delivery timelines are stated per tier and begin only after both conditions are met: (1) the upfront deposit is received, and (2) all required client materials (brand assets, product information, copy, access credentials) have been delivered to us in a complete and usable form.

We stand behind a simple guarantee: if we miss our stated delivery window through our own fault, you receive a 20% discount on your next build with us. The clock pauses for any delay caused by the client — including late material delivery, slow review turnaround, or approval delays — or by third parties outside our control (payment gateway merchant approvals, domain registrars, hosting providers, courier API onboarding). We will communicate any such delays promptly in writing.

4. Client Responsibilities

You agree to: • Provide accurate, complete, and timely materials (logo files, product images, copy, pricing, brand guidelines) when requested. • Ensure all materials you provide are owned by you or that you hold the necessary rights and licences to use them commercially. • Not provide materials that are unlawful, defamatory, infringing, or that violate the policies of any third-party service we are asked to integrate. • Designate a single point of contact authorised to approve deliverables and request revisions.

You accept full legal responsibility for the content of your store, your products, your pricing, and your business practices. TezCommerce.pk is a development agency, not a legal or compliance adviser.

5. Revisions

Each tier includes a stated number of revision rounds: • Tez Launch: 2 rounds. • Tez Velocity & Scale: 3–5 rounds. • Tez Enterprise: As agreed in the Scope Agreement.

A revision round is defined as a single consolidated list of change requests submitted after reviewing a delivered milestone. Revisions must be related to the original scope. Requests that constitute new features, significant scope additions, or design direction changes are quoted and billed separately before being actioned. Additional revision rounds beyond the included allocation are available at an agreed hourly or fixed rate.

6. Intellectual Property & Ownership

Upon receipt of full and final payment, you own the finished store — all custom code, design files, and content created specifically for your project are transferred to you.

We retain ownership of our pre-existing tools, frameworks, libraries, components, workflows, and know-how that formed part of the build. This includes reusable code patterns and internal templates. You receive a perpetual licence to use these as part of your delivered store but may not resell or redistribute them as standalone products.

We reserve the right to display your project in our portfolio, case studies, and marketing materials unless you opt out in writing within 14 days of project delivery. Opting out does not affect any other aspect of these Terms.

7. Third-Party Services

Your store may integrate or depend on third-party services including but not limited to: JazzCash, EasyPaisa, PostEx, Trax, Leopards, Vercel, Supabase, Google Analytics, Meta (WhatsApp / Pixel), and domain registrars. Each of these services operates under its own terms of service, pricing, approval processes, and uptime guarantees.

We are not responsible for: (a) delays in merchant account approvals by payment providers; (b) outages, pricing changes, or policy changes by any third-party platform; (c) fees charged by third-party services. Securing the necessary merchant accounts and API credentials is the client's responsibility unless explicitly included in the Scope Agreement. We will assist and guide you through the process.

8. Post-Launch Support & Tez Care

All tiers include 30 days of post-launch bug support at no extra charge. Bug support covers defects in functionality that were part of the agreed scope. It does not cover new features, content changes, or issues arising from third-party service outages.

Tez Care is an optional monthly retainer (Rs. 7,500/month) covering hosting management, daily backups, security patches, 5 hours of content changes per month, and WhatsApp support. It can be added to any tier and cancelled at any time with 7 days' notice via WhatsApp or email, with no long-term contract.

9. Cancellation & Refunds

Either party may cancel the project by written notice. If you cancel: • Before work has started (no milestones completed): the upfront deposit is non-refundable as it covers project setup, planning, and reserved capacity. • After work has started: you will be invoiced for the value of work completed to the point of cancellation, assessed against the total agreed price. Any amount already paid in excess of completed work will be refunded; any shortfall will be invoiced.

If we cancel through our own fault, all deposits paid will be returned in full within 7 business days.

Refunds do not apply to Tez Care retainer fees already paid for months of service rendered.

10. Warranties & Disclaimers

We warrant that we will deliver your project with reasonable skill, care, and professional diligence, using technologies appropriate to the scope.

We do not warrant that your store will generate specific sales volumes, traffic, conversion rates, or advertising returns. Business outcomes depend on factors entirely outside our control including your products, pricing, marketing, and market conditions.

To the fullest extent permitted by applicable law, the delivered store and all associated services are provided "as is" beyond the scope of the express warranties above. We make no warranties regarding uninterrupted uptime (which is subject to third-party hosting) or compatibility with future browser or OS updates.

11. Limitation of Liability

To the maximum extent permitted by Pakistani law, TezCommerce.pk's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.

In no event shall TezCommerce.pk be liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, loss of data, or loss of business opportunity — even if we have been advised of the possibility of such damages.

12. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that is or becomes publicly available through no breach of this agreement, or that is required to be disclosed by law.

We will not share your business data, credentials, or project details with third parties except as necessary to deliver your project (e.g., hosting providers, database services).

13. Force Majeure

Neither party shall be in breach of these Terms, nor liable for any failure or delay in performance, where such failure or delay results from causes beyond that party's reasonable control — including natural disasters, acts of government, civil unrest, power outages, or internet infrastructure failure. The affected party will notify the other promptly and resume performance as soon as reasonably practicable.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Pakistan. Any dispute arising out of or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Karachi, Sindh, Pakistan.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For active projects, the Terms in force at the date your Scope Agreement was signed govern that project. For new engagements, the most recent Terms apply.
